Essentials of Starting a Technology Company

This presentation will introduce best practices for company foundation as recommended in Northeastern’s Health Sciences Entrepreneurs Program, including things that need to be done as a new venture proceeds from inception through commercialization. The topic of funding will be explored in detail. A specific private placement fundraising process, with criteria and results, will be presented for eRAD Inc., a radiology workflow software company in order to illustrate founder’s agreements, fundraising, capitalization tables, dilution and exit. Finally, the softer side of starting a business will be addressed. This piece deals with the mission, goals, and value systems that guide emerging enterprise. The importance of selecting employees, investors, and business partners with shared values will be stressed. Again, examples will be drawn from the speaker’s experiences at eRAD and elsewhere.Dr. Roy W. Miller has more than thirty years of experience in the development and commercialization of high technology systems and products.  As a Senior Manager at Polaroid Corporation, he led the development of a number of state-of-the-art imaging products, and was a founder and COO of Polaroid’s Medical Imaging Systems Division. Dr. Miller has held executive positions at Sterling Diagnostic Imaging, CombiMartix Corporation, and eRAD Inc.
